Terms & Conditions
Glendale Presentation Solutions
These Terms & Conditions apply to the supply of goods and services by Glendale Presentation Solutions ("Glendale", "we", "us" or "our") to business customers ("Customer", "you" or "your").
1. General
1.1 These Terms & Conditions apply to all business-to-business sales of new and refurbished machinery, consumables, spare parts, accessories and associated services supplied by Glendale.
1.2 These terms form part of the contract where they have been incorporated into the agreement between Glendale and the Customer before or at the time the contract is formed.
1.3 Any variation to these terms must be agreed in writing by Glendale.
1.4 Any conflicting terms supplied by the Customer shall not apply unless expressly accepted by Glendale in writing, subject to the terms actually agreed between the parties.
1.5 Nothing in these terms excludes or restricts any rights or liabilities that cannot lawfully be excluded or restricted.
2. Quotations and Orders
2.1 Quotations for new equipment are valid for 30 days unless otherwise stated.
2.2 Refurbished equipment is offered subject to availability and prior sale.
2.3 All orders are subject to acceptance by Glendale. A contract is formed when Glendale accepts an order, whether by written confirmation or other conduct clearly indicating acceptance.
2.4 Product specifications, descriptions, illustrations and photographs are provided in good faith. Minor variations that do not materially affect the agreed specification, functionality or performance may occur.
2.5 Any material changes to the agreed specification must be approved by the Customer.
2.6 The Customer is responsible for checking that the goods ordered meet their requirements, subject to any advice, representations or suitability assessments expressly provided by Glendale.
2.7 Delivery dates quoted are estimates unless expressly agreed in writing as guaranteed dates. Glendale will make reasonable efforts to meet agreed delivery schedules.
3. Prices and Payment
3.1 All prices exclude VAT, which will be charged at the prevailing rate. Delivery and installation charges are additional unless otherwise stated.
3.2 Payment is due in accordance with the terms agreed at the time of order.
3.3 Unless credit facilities have been expressly agreed, Glendale reserves the right to require payment in full before dispatch or delivery.
3.4 Deposits or staged payments may be required for machinery, special orders or bespoke equipment, as agreed at the time of order.
3.5 Where credit terms have been agreed, payment must be received by the agreed due date.
3.6 Glendale reserves the right to charge statutory interest and applicable recovery costs on overdue commercial accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.7 Glendale may suspend further deliveries or services where payments are overdue, subject to applicable law and existing contractual obligations.
3.8 All payments must be made in pounds sterling unless otherwise agreed in writing.
4. Retention of Title
4.1 Legal ownership of goods supplied by Glendale shall remain with Glendale until payment has been received in full for those goods.
4.2 Until ownership passes, the Customer shall:
- Keep the goods in good condition.
- Take reasonable precautions against loss, theft or damage.
- Maintain appropriate insurance.
- Not sell, pledge or otherwise dispose of the goods without Glendale's written consent.
4.3 Where payment becomes overdue or the Customer becomes insolvent, Glendale reserves the right, subject to applicable law, to require the return of goods to which Glendale retains legal title.
4.4 The Customer shall provide reasonable assistance in identifying and recovering such goods. Glendale shall not enter premises without lawful authority or the occupier's consent.
4.5 Risk of loss or damage passes in accordance with Clause 5, independently of the transfer of ownership.
5. Delivery and Discrepancies
5.1 Delivery dates are estimates unless expressly agreed in writing as guaranteed dates.
5.2 Glendale will make reasonable efforts to meet agreed delivery schedules but shall not be responsible for delays beyond its reasonable control, subject to applicable law.
5.3 Delivery charges will be confirmed at the time of quotation or order.
5.4 The Customer is responsible for ensuring that the delivery location is suitable and accessible, including adequate doorways, floor loading, lifting facilities and safe access.
5.5 Additional costs arising from undisclosed access restrictions, failed delivery attempts or unsuitable site conditions may be charged where reasonable.
5.6 Risk of loss or damage passes to the Customer upon completion of delivery at the agreed location, unless otherwise agreed in writing.
5.7 All goods must be checked promptly upon receipt. Any shortages, visible damage, incorrect items or other delivery discrepancies reasonably identifiable upon inspection must be reported to Glendale in writing within 3 working days of delivery.
5.8 Where no notification is received within this period, the goods will be presumed to have been delivered in accordance with the delivery documentation, unless evidence demonstrates otherwise.
5.9 The three-working-day notification period does not apply to hidden defects that could not reasonably have been identified upon delivery. Such defects should be reported as soon as reasonably practicable after discovery.
5.10 For the purposes of these terms, working days means Monday to Friday, excluding bank holidays in England.
5.11 Nothing in this section excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.
5.12 Proof of Delivery: Where goods are delivered by Glendale, an appointed courier, pallet network or other transport provider, the relevant delivery records, including electronic proof of delivery, signatures, photographs and tracking information, shall constitute evidence that delivery has taken place.
The Customer acknowledges that delivery may be confirmed using the transport provider's own documentation and that a separate Glendale delivery note or customer signature is not required.
Proof of delivery does not, by itself, establish that goods were received free from damage, shortages or defects. Any visible damage, shortages or discrepancies must be reported in accordance with Clause 5.7, subject to Clauses 5.9 and 5.11.
6. Equipment Suitability, Installation and Acceptance
6.1 The Customer is responsible for ensuring that equipment ordered is suitable for the intended installation location, including machine dimensions, available floor space, access restrictions, electrical requirements and sufficient clearance for safe operation and maintenance.
6.2 Where Glendale has expressly undertaken responsibility for assessing site suitability or recommending equipment for a particular application, Glendale shall exercise reasonable care and skill in doing so.
6.3 Where installation is included in the agreed price, Glendale will arrange installation at the agreed location.
6.4 Unless otherwise agreed, the Customer is responsible for providing suitable electrical supplies, working space, access and any necessary site preparations.
6.5 Operator training will be provided where expressly included in the quotation or order confirmation.
6.6 Additional visits or work required because the site is not ready may incur reasonable additional charges.
6.7 Following installation, the Customer is responsible for ensuring that equipment is operated by appropriately trained personnel in accordance with the manufacturer's operating and safety instructions.
6.8 Where installation is included, the Customer will be given a reasonable opportunity to inspect and test the equipment following installation. Any apparent defects or discrepancies should be reported promptly to Glendale.
6.9 Signing an installation or delivery document confirms receipt and, where applicable, completion of the installation activities recorded. It does not remove any rights relating to defects that could not reasonably have been identified at that time.
7. New Equipment Warranty
7.1 Unless otherwise stated in writing, new machinery supplied by Glendale includes a 12-month warranty, commencing from the date of delivery or installation, as applicable to the agreed supply arrangements.
7.2 The warranty covers defects in materials or workmanship arising under normal operating conditions, subject to the applicable warranty conditions agreed at the time of sale.
7.3 Where a valid warranty claim is accepted, Glendale will arrange an appropriate repair or replacement in accordance with the applicable warranty.
7.4 The warranty does not ordinarily cover:
- Consumables and normal wear and tear.
- Damage caused by misuse, negligence or accidental damage.
- Incorrect operation or failure to follow operating instructions.
- Unauthorised repairs, alterations or modifications.
- Damage arising from unsuitable electrical supplies or operating environments.
- Problems caused by incompatible or unsuitable materials.
7.5 Warranty claims should be reported promptly, together with the machine details and a description of the fault.
7.6 The Customer is responsible for ensuring that all recommended servicing and maintenance is carried out at the intervals specified by the manufacturer. Failure to do so may invalidate warranty cover where the failure to maintain the equipment has caused or contributed to the fault.
7.7 Warranty cover does not include routine operator adjustments, settings or maintenance procedures described in the manufacturer's operating manual. Service visits requested for such matters may be chargeable where the issue is not attributable to a fault covered by the warranty.
7.8 Nothing in this warranty excludes or restricts any statutory rights or remedies that cannot lawfully be excluded or restricted.
8. Refurbished Equipment Warranty
8.1 Refurbished machinery supplied by Glendale is professionally inspected, serviced and prepared before sale.
8.2 Unless otherwise agreed in writing, refurbished machinery includes a 3-month parts and labour warranty.
8.3 The warranty covers faults arising from defective components or workmanship under normal operating conditions.
8.4 Refurbished equipment may show reasonable cosmetic signs of previous use, consistent with its age, description and agreed condition.
8.5 The warranty does not ordinarily cover:
- Consumable items and normal wear and tear.
- Misuse, negligence or accidental damage.
- Incorrect operation.
- Unauthorised modifications or repairs.
- Unsuitable electrical supplies or operating conditions.
- Problems caused by incompatible or unsuitable materials.
8.6 Where a valid warranty claim is accepted, Glendale will arrange an appropriate repair or replacement.
8.7 The warranty does not constitute a guarantee against all future mechanical or electrical failures.
8.8 The Customer is responsible for ensuring that all recommended servicing and maintenance is carried out at the intervals specified by the manufacturer. Failure to do so may invalidate warranty cover where the failure to maintain the equipment has caused or contributed to the fault.
8.9 Warranty cover does not include routine operator adjustments, settings or maintenance procedures described in the manufacturer's operating manual. Service visits requested for such matters may be chargeable where the issue is not attributable to a fault covered by the warranty.
8.10 Nothing in this warranty excludes or restricts any statutory rights or remedies that cannot lawfully be excluded or restricted.
9. Consumables, Spare Parts and Accessories
9.1 Consumables, spare parts and accessories must be suitable for their intended application.
9.2 The Customer is responsible for confirming compatibility where Glendale has not expressly recommended a product for a specified machine or application.
9.3 Minor variations in colour, finish or manufacturing tolerances may occur between production batches, provided the goods remain consistent with their agreed description and applicable quality requirements.
9.4 Faulty, damaged or incorrectly supplied goods should be reported promptly in accordance with Clause 5 where applicable.
9.5 Returns of correctly supplied, non-faulty goods require Glendale's prior written agreement.
9.6 Special-order consumables and spare parts may be non-returnable where agreed before purchase, except where the Customer has a legal or contractual right to reject them.
10. Cancellations and Returns
10.1 All orders accepted by Glendale are considered firm and binding. Orders may only be cancelled with Glendale's prior written agreement, except where the Customer has a legal or contractual right to cancel.
10.2 Glendale is under no obligation to accept the cancellation or return of goods that have been correctly supplied in accordance with the Customer's order and are not faulty.
10.3 Returns will not ordinarily be accepted where the Customer has:
- Changed their mind.
- Ordered the wrong goods or equipment.
- Found an alternative product or supplier.
- Decided the goods are no longer required.
- Determined that equipment is too large for the available space.
- Incorrectly assessed their own requirements.
This applies provided the goods conform to the agreed specifications and Glendale has not breached any applicable contractual or legal obligation.
10.4 Non-stock machinery, special-order equipment, bespoke configurations and goods specifically sourced for the Customer cannot be cancelled or returned without Glendale's prior written agreement once the order has been placed with our supplier or production has commenced, except where the Customer has a legal or contractual right to cancel.
10.5 Where Glendale agrees to accept a cancellation or return of non-faulty goods, reasonable restocking, administration, transport, collection and other associated charges may apply. Such charges will be communicated to and agreed with the Customer before the cancellation or return is authorised.
10.6 Goods authorised for return must be returned in the condition agreed with Glendale, adequately packaged and protected against transit damage.
10.7 Glendale reserves the right to make reasonable deductions for damage, missing accessories or incomplete packaging where agreed as part of the return arrangements.
10.8 Nothing in this section excludes or restricts any statutory or contractual rights that cannot lawfully be excluded or restricted, including rights relating to faulty, misdescribed or incorrectly supplied goods.
11. Part Exchange Equipment
11.1 Where Glendale agrees to accept equipment in part exchange, the agreed allowance is based on the description and condition disclosed by the Customer.
11.2 The Customer confirms that they are legally entitled to transfer ownership of the equipment and that it is free from undisclosed finance agreements, liens or third-party claims.
11.3 Glendale reserves the right to inspect part-exchange equipment before final acceptance.
11.4 Where the condition differs materially from that described, Glendale may propose a revised allowance, subject to the Customer's agreement.
11.5 Any costs associated with disconnecting, removing or transporting part-exchange equipment will be agreed before collection.
12. Service and Maintenance
12.1 Service agreements, preventative maintenance contracts and Glendale Gold Cover arrangements are subject to their own written terms and schedules.
12.2 Unless expressly included, routine servicing, consumables and replacement of normal wear items are not covered by the standard equipment warranty.
12.3 Any stated response times are subject to the specific service agreement and its conditions.
12.4 Where chargeable work is required, Glendale will provide an estimate or obtain appropriate authorisation before proceeding, except where otherwise agreed.
12.5 Glendale will carry out service and maintenance work with reasonable care and skill.
12.6 The Customer is responsible for carrying out routine operator maintenance and adjustments as described in the manufacturer's operating manual.
12.7 Where a service visit is requested for an issue arising from incorrect operation, routine adjustment or failure to carry out recommended maintenance, Glendale reserves the right to charge for the visit where the issue is not covered by the applicable warranty or service agreement.
12.8 Any repairs or modifications carried out by unauthorised persons may affect warranty coverage where such work has caused or contributed to the fault.
13. Customer Responsibilities
13.1 The Customer shall ensure that machinery is operated safely and in accordance with the manufacturer's instructions.
13.2 The Customer is responsible for appropriate operator training, workplace risk assessments and compliance with applicable health and safety legislation.
13.3 The Customer shall ensure that required servicing, inspections and maintenance are carried out.
13.4 Glendale shall not be responsible for damage caused by improper operation, unauthorised modification or failure to follow reasonable maintenance instructions, except to the extent caused by Glendale's own breach of duty.
14. Limitation of Liability
14.1 Subject to Clauses 14.3 and 14.4, Glendale shall not be liable for indirect or consequential commercial losses, including loss of profit, production downtime, spoilt production or loss of business opportunity, to the extent such exclusions are reasonable and enforceable under applicable law.
14.2 Subject to Clauses 14.3 and 14.4, Glendale's total liability arising from an individual contract shall not exceed the total amount paid or payable under that contract, to the extent such limitation is reasonable and enforceable under applicable law.
14.3 Nothing in these terms shall exclude or limit liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Breach of obligations relating to legal title where exclusion is prohibited.
- Any other liability that cannot lawfully be excluded or limited.
14.4 Nothing in this section excludes or restricts any statutory rights or remedies that cannot lawfully be excluded or restricted.
15. Events Beyond Reasonable Control
15.1 Glendale shall not be liable for delays or failure to perform obligations caused by events beyond its reasonable control, including transport disruption, supplier failures, industrial action, natural disasters, government restrictions or significant supply chain interruptions.
15.2 Glendale will notify the Customer of any significant delay and take reasonable steps to minimise disruption.
15.3 Where such circumstances continue for an unreasonable period, either party may seek to cancel the affected outstanding obligations, subject to applicable law and any agreed contractual arrangements.
16. Export Sales
16.1 Export orders may be subject to separate written terms covering carriage, insurance, customs clearance, duties, taxes and payment arrangements.
16.2 Unless expressly agreed otherwise, the Customer is responsible for import duties, local taxes and customs clearance in the destination country.
16.3 International warranty support, installation and servicing arrangements must be agreed in writing before dispatch.
17. Complaints and Disputes
17.1 Any complaint should be referred to Glendale in writing, together with the relevant invoice or order number and details of the issue.
17.2 Both parties agree to make reasonable efforts to resolve disputes through discussion before commencing formal legal proceedings, without preventing either party from taking urgent legal action where necessary.
18. Governing Law

18.2 Subject to any mandatory legal requirements, the courts of England and Wales shall have jurisdiction over disputes arising from these terms.
